1. Agreement to Terms
By accessing or using any QENEX LTD services, including GPTFinancial, AutoFlow Pro, ComplianceMonitor, SmartScale Suite, and ProcessGenius (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.
2. About QENEX
QENEX LTD is a company registered in England and Wales (Company No. 16523814), providing enterprise AI automation solutions. We are registered with the UK Information Commissioner's Office (ICO: C1837621).
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access
- One account per person or organization unless otherwise agreed
5. Subscription and Payment
- Subscription fees are billed in advance on a monthly or annual basis
- All payments are processed securely through Stripe
- Prices are in USD unless otherwise specified
- We reserve the right to modify pricing with 30 days notice
- Refunds are provided in accordance with our refund policy
6. Acceptable Use
You agree not to:
- Use the Services for any illegal purpose
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware or harmful code
- Attempt to gain unauthorized access to our systems
- Use the Services to compete with QENEX
- Resell or redistribute the Services without authorization
- Use automated systems to access the Services beyond normal API usage
7. API Usage
- API access is subject to rate limits based on your subscription tier
- API keys must be kept confidential
- Excessive usage may result in throttling or suspension
- We reserve the right to modify API specifications with notice
8. Intellectual Property
All QENEX Services, including software, designs, trademarks, and content, are owned by QENEX LTD. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.
You retain ownership of your data. By using our Services, you grant us a license to process your data solely to provide the Services.
9. Data and Privacy
Your use of the Services is subject to our Privacy Policy. We are committed to protecting your data in accordance with UK GDPR and applicable data protection laws.
10. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be announced in advance where possible
- We are not liable for outages caused by factors beyond our control
11. Limitation of Liability
To the maximum extent permitted by law:
- QENEX is not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees paid in the 12 months preceding the claim
- We do not warrant that the Services will meet all your requirements
12. Indemnification
You agree to indemnify and hold harmless QENEX LTD, its officers, directors, and employees from any claims arising from your use of the Services or violation of these Terms.
13. Termination
- You may cancel your subscription at any time
- We may suspend or terminate accounts for Terms violations
- Upon termination, your right to use the Services ceases immediately
- Data retention after termination is governed by our Privacy Policy
14. Changes to Terms
We may modify these Terms at any time. Significant changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
