Terms of Service
1. Acceptance of Terms
By accessing or using the QENEX platform, website at qenex.ai, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services.
These Terms constitute a legally binding agreement between you (or your organisation) and QENEX LTD, a company registered in England and Wales (Company Number 16523814), 20 Wenlock Road, London, England, N1 7GU.
2. Description of Services
QENEX provides an autonomous AI operations platform for enterprise clients, including but not limited to: autonomous decision-making systems, financial operations automation, security monitoring, infrastructure management, and related software tools and APIs.
Services are provided on a subscription or contractual basis as detailed in your order form or statement of work. Specific service levels, features, and pricing are governed by the applicable agreement between QENEX and your organisation.
3. Eligibility and Account Registration
You must be at least 18 years of age and have the authority to bind your organisation to these Terms. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Transmit harmful, fraudulent, or deceptive content.
- Interfere with or disrupt the integrity or performance of the Services.
- Attempt to gain unauthorised access to QENEX systems or other users' accounts.
- Reverse-engineer, decompile, or attempt to extract source code from QENEX software.
- Use the Services to train competing AI systems or products without prior written consent.
5. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, documentation, and trade marks, are owned by or licensed to QENEX LTD. These Terms do not grant you any rights in QENEX's intellectual property beyond the limited right to use the Services as expressly authorised.
You retain ownership of data you submit to the Services ("Customer Data"). You grant QENEX a limited licence to process Customer Data solely to provide the Services.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the Services ("Confidential Information"), and not to disclose it to third parties without prior written consent, except as required by law.
7. Data Protection
QENEX processes personal data in accordance with UK GDPR and our Privacy Policy. Where QENEX processes personal data on your behalf as a data processor, the parties will enter into a data processing agreement as required by applicable law.
8. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available". To the maximum extent permitted by law, QENEX disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
QENEX's total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the fees paid by you to QENEX in the 12 months preceding the claim. In no event shall QENEX be liable for indirect, incidental, consequential, or punitive damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
9. Termination
Either party may terminate access to the Services upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice. QENEX may immediately suspend or terminate access for violations of the Acceptable Use policy or non-payment.
10. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law applies.
11. Changes to Terms
QENEX may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
